When you engage
Acknowledge the notice within the contractual window but commit to nothing on substance. Insist that data requests are specific, scoped, and justified against the agreement. Agree a realistic timeline rather than accepting an aggressive one. Keep every request and response logged so the process stays documented and orderly.
When findings arrive
Treat every finding as a claim to be validated, not a fact to be paid. Ask for the methodology behind each number. Reconcile it against your own deployment data and your entitlements. Dispute inactive installs counted as seats, generous usage assumptions, and license terms read in Adobe favor. Separate the genuine gap from the noise.
When you resolve
Never accept a settlement at list. Use the resolution as a negotiation, fold any real shortfall into a forward looking agreement at negotiated rates, and secure protections that prevent a repeat, such as clearer measurement definitions and swap rights. Get the closure and the improved terms in writing before any payment.
